1. Quotations and Orders
1.1 Quotations are valid for thirty (30) days unless otherwise stated.
1.2 Orders become binding once accepted by Plast Plastic in writing or upon commencement of work.
1.3 Any changes to an order may result in adjustments to price, lead time, or delivery schedule.
2. Pricing and Payment
2.1 Prices are exclusive of GST unless otherwise stated.
2.2 Payment terms are thirty (30) days from invoice date unless otherwise agreed.
2.3 Plast Plastic reserves the right to suspend deliveries or production for overdue accounts.
3. Materials and Customer Changes
3.1 Where materials are specified by Customer, any change to material grade, specification, source, or certification should be communicated as early as possible and preferably at least fourteen (14) days before production.
3.2 Customer shall be responsible for any costs arising from material changes after materials have been ordered or committed.
3.3 Special-order, customer-specified, imported, or non-returnable materials may not be cancelled once procurement has commenced.
3.4 Where significant raw material price increases occur after quotation, Plast Plastic reserves the right to discuss a reasonable price adjustment before production.
4. Inventory
4.1 Where Plast Plastic purchases materials or inventory specifically for Customer requirements, Customer agrees to purchase such inventory if orders are cancelled, significantly reduced, or discontinued.
4.2 Plast Plastic will make reasonable efforts to minimise inventory exposure and communicate inventory commitments where practical.
5. Tooling
5.1 Tooling, moulds, fixtures, and related equipment paid for in full by Customer shall remain Customer property.
5.2 Plast Plastic may retain such tooling at its facility for manufacturing purposes unless otherwise agreed.
5.3 Tooling funded or developed by Plast Plastic shall remain Plast Plastic property unless otherwise agreed in writing.
6. Engineering Changes
6.1 Changes to drawings, specifications, materials, tolerances, or other technical requirements shall be submitted in writing.
6.2 Plast Plastic will advise Customer of any impact on cost, lead time, tooling, or inventory before implementation.
6.3 Customer shall be responsible for reasonable costs arising from approved changes.
7. Delivery
7.1 Delivery dates are estimates and are based on information available at the time of order acceptance.
7.2 Plast Plastic shall not be responsible for delays caused by material shortages, transportation disruptions, customer changes, government actions, or other circumstances beyond its reasonable control.
7.3 Risk in the goods passes to Customer upon delivery.
8. Inspection and Quality
8.1 Customer shall inspect goods upon receipt and notify Plast Plastic of any concerns within seven (7) days.
8.2 Plast Plastic warrants that products will substantially conform to agreed specifications at the time of delivery.
8.3 Plast Plastic's responsibility for non-conforming products shall be limited to repair, replacement, or credit at its discretion.
9. Ownership of Goods
9.1 Ownership of goods shall remain with Plast Plastic until full payment has been received.
9.2 Until payment is made in full, Customer shall store goods separately and keep them identifiable as supplied by Plast Plastic.
10. Limitation of Liability
10.1 Plast Plastic shall not be liable for indirect, consequential, or special damages, including loss of profit, loss of production, or loss of business opportunity.
10.2 Plast Plastic's total liability relating to any order shall not exceed the value of the goods supplied under that order.
11. Confidentiality
11.1 Both parties agree to keep confidential any technical, commercial, or business information received from the other party.
12. Governing Law
12.1 These Terms shall be governed by the laws of Singapore.
12.2 Any dispute shall be subject to the jurisdiction of the courts of Singapore.
